Governance

Governance – A must discipline!

Governing bodies play a fundamental role in society and therefore adherence to good Governance principles is fundamental for the fulfilment of their objectives and broader social mission.

We could probably find our way through this complex PMI world without it, but there would probably be lots of disagreements and possibly lawsuits along the way.

Our chapter's Governance adapted its structures and procedures in order to meet the evolving needs of the chapter and respond to the increasing complexity of its functions and operations.

As a governing body, our chapter's Governance team is committed to the principles of good Governance, transparency and zero tolerance towards any unethical behavior.

We have progressively been putting in place a series of measures.

PMI requires that we govern ourselves in accordance with the requirements of a 501(c) (6) non-profit organization (or Business league in our case). To summarize (from the IRS):

"A business league is an association of persons having some common business interest, the purpose of which is to promote such common interest and not to engage in a regular business of a kind ordinarily carried on for profit."

That’s just where it starts; we must have:

•Charter renewed each year by the new board officers
•Bylaws that don’t conflict with PMI National Bylaws
•Abide by Code of Ethics and Professional Responsibility

Highly recommended documentation:

•Policy Manual
•Board Handbook
•Organization Chart
•Board Member Job Descriptions
•Transition document for each board member

All of this is why back in 2011, PMI National recommended having a Governance position be part of a local PMI Chapter’s board structure. So beginning in late 2012, PMI Madison / South Central Wisconsin chapter added the VP of Governance and Policy role to the chapter elections which went effective January 2013. One year later, we decided in order for the VP to take a more strategic role, a Director Governance position was added.
